1. Introduction

These Terms and Conditions (“Terms”) govern the provision of professional services by ideary works LLC, including but not limited to web design, website maintenance, technical consulting, accessibility compliance services, and related activities. By engaging with ideary works LLC through written agreement, form submission, or payment, you agree to be bound by these Terms.

2. Scope of Services

ideary works LLC provides professional services including:

WordPress Web Design and Development
Website Maintenance & Security Monitoring
Accessibility Audits & Remediation (ADA, WCAG, EAA/BFSG)
Strategic Digital Consulting
Malware Removal & Recovery Support
Service Packages with Defined Service Levels

All services are customized and defined in written proposals or service descriptions.

3. User Eligibility

Our services are intended for users who are at least 18 years old and can form legally binding contracts under applicable law.

4. Intellectual Property & Ownership

All project assets, source code, documentation, and digital deliverables remain the intellectual property of ideary works LLC until payment is received in full. Upon full payment, the client receives a non-exclusive, non-transferable license to use the deliverables for their intended purpose.

5. Project Review Phase

Each project includes a formal Review Phase, during which the client may request reasonable revisions within the scope of the agreement. Final approval is required in writing prior to delivery or launch.

6. Payment Terms

Care plans, accessibility services, and malware recovery are billed via direct checkout (Stripe) and are due upfront.
All other services are invoiced and payable within 14 calendar days.
For all projects exceeding $400, a 25% deposit is due upon contract signing or written confirmation.
ideary works LLC reserves the right to suspend or delay services in case of non-payment.

7. Confidentiality

Both parties agree to treat exchanged technical and business information confidentially and not disclose such data to third parties unless required by law.

8. Use as Reference & Portfolio

Unless otherwise agreed in writing, the client grants ideary works LLC the right to feature the completed project (e.g., name, screenshots, descriptions) in its portfolio or promotional material, provided that the project is not confidential or pre-launch.

9. Cancellation Terms – Maintenance Contracts Only

Monthly contracts may be canceled with 14 days’ notice before the end of the current billing period.
Annual contracts must be canceled at least 4 weeks before the renewal date to avoid automatic renewal.

10. Retention of Title

All deliverables remain the property of ideary works LLC until full payment is received. Clients may not reproduce, resell, or distribute work products until ownership is transferred.

11. Service Level Agreement (SLA)

Service response times apply only to active maintenance clients and are defined as follows:

Basic Plan: Response within 72 hours
Smart Shield: Response within 48 hours
Total Peace: Response within 24 hours
Service hours and emergency support availability may vary and are described in the care plan documentation.

12. LIMITATION OF LIABILITY

IN NO EVENT SHALL IDEARY WORKS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE SERVICE IN QUESTION.

13. Termination

Either party may terminate the service agreement with 30 days’ written notice. All work completed prior to termination is billable and payable.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules.

15. Dispute Resolution

All disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Casper, Wyoming.

16. Revisions to Terms

ideary works LLC reserves the right to revise these Terms at any time. Changes become effective upon publication. Continued use of our services constitutes acceptance of the updated Terms.
